PLATFORM TERMS AND CONDITIONS

Effective Date: 2026-09-30

These Platform Terms and Conditions (the “Terms”) govern access to and use of the website, application, electronic portal, customer account system, and other online services made available by Wheelson Auto Inc., having its business address at 329 Linden Ave., Woodlynne, New Jersey 08107 (hereinafter the “Company”)

These Terms apply to each person who accesses or uses the Platform, creates or maintains an Account, submits information through the Platform, or uses any Platform functionality made available by the Company. These Terms govern the use of the Platform and related electronic services. The rental, possession, operation, and return of a particular motor vehicle are governed separately by the applicable Rental Agreement and Rental Schedule.

Article 1. DEFINITIONS

1.1. For purposes of these Terms, the following words and expressions shall have the meanings set out below whenever they are used with an initial capital letter. Defined terms may be used in the singular or plural as the context requires. Any term used in these Terms but specifically defined in an applicable Rental Agreement or Rental Schedule shall have the meaning given to that term in the applicable Rental Agreement or Rental Schedule when used in connection with that particular rental transaction.

a. “Account” means the individual electronic account, profile, or customer access record created or maintained for a Customer through the Platform for purposes that may include submitting information, accessing documents, completing electronic transactions, making or authorizing payments, receiving communications, and managing matters associated with the Customer’s relationship with the Company.

b. “Company” means Wheelson Auto Inc., with its business address at 329 Linden Ave., Woodlynne, New Jersey 08107, as the operator of the Platform and the provider of the Platform Services described in these Terms.

c. “Customer” means an individual who accesses or uses the Platform, creates or maintains an Account, submits a rental application or other information through the Platform, or uses the Platform Services. Where a Customer enters into a Rental Agreement with the Company, references to the Customer in these Terms include that person in the person’s capacity as the renter under the applicable Rental Agreement, where the context requires.

d. “Platform” means the website, application, electronic portal, customer account system, or other electronic interface designated by the Company through which Customers may access or use the Platform Services.

e. “Platform Content” means the text, graphics, logos, trademarks, images, layouts, designs, software interfaces, databases, information, documents, and other content made available by or on behalf of the Company through the Platform, excluding Customer Content and content owned and provided by an independent third party.

f. “Platform Services” means the electronic functions and services that the Company makes available through the Platform from time to time, which may include Account management, submission of rental information or applications, access to Vehicle information, electronic contracting, document delivery, payment functionality, communications, transaction records, and other functions associated with administration of the Customer’s relationship with the Company.

g. “Rental Agreement” means a separate vehicle rental agreement entered into between the Company and a Customer governing the Customer’s possession and use of a particular motor vehicle, including the Long-Term Vehicle Rental Agreement with Optional Purchase Opportunity where that agreement applies.

h. “Rental Schedule” means the transaction-specific schedule issued in connection with a Rental Agreement that identifies the particular vehicle and the applicable commercial terms of that rental transaction.

i. “Customer Content” means information, documents, photographs, files, communications, or other materials that a Customer submits, uploads, transmits, or otherwise provides through the Platform, excluding information automatically generated by the Platform through the ordinary administration of an Account or electronic transaction.

j. “Electronic Communication” means any notice, message, confirmation, reminder, disclosure, document, or other communication transmitted or made available through the Platform, email, text message, or another electronic method approved or used by the Company in connection with the Platform Services.

k. “Payment Method” means a credit card, debit card, bank account, digital payment method, or other payment instrument or payment source that the Customer provides or authorizes for use through the Platform or in connection with amounts payable to the Company.

l. “Third Party Service Provider” means an independent person or entity whose technology, services, systems, or infrastructure may be used in connection with the Platform or Platform Services, including payment processing, electronic signatures, identity or information verification, communications, hosting, data storage, mapping, or other supporting services.

Article 2. SCOPE AND ACCEPTANCE OF TERMS

2.1. Application of Terms. These Terms apply to the Customer’s access to and use of the Platform and Platform Services made available by the Company. They govern the electronic relationship between the Company and the Customer in connection with the Platform, including the Customer’s use of an Account, submission of information, access to documents, use of electronic functionality, and other activities carried out through the Platform. These Terms do not, by themselves, grant the Customer any right to possess, operate, purchase, or receive any particular vehicle.

2.2. Acceptance of Terms. The Customer accepts and agrees to be bound by these Terms by creating an Account, selecting an electronic acceptance option presented through the Platform, or otherwise using Platform Services after being given reasonable access to these Terms. Where the Company requires a specific form of acceptance for a particular Platform Service or document, the Customer must complete that acceptance before using the applicable functionality.

2.3. Opportunity to Review. The Customer is responsible for reviewing these Terms before accepting them or continuing to use the Platform in circumstances where acceptance is required. The Company will make these Terms reasonably available to the Customer through the Platform or another electronic means. If the Customer does not agree to these Terms, the Customer should not create or continue to use an Account or use Platform Services that require acceptance of these Terms.

2.4. Separate Rental Relationship. Access to the Platform, creation of an Account, submission of a rental application, provision of information, or acceptance of these Terms does not constitute approval of a rental application and does not create a Rental Agreement. A rental relationship concerning a particular vehicle arises only when the applicable Rental Agreement and Rental Schedule have been completed and accepted in the manner required by the Company, subject to any requirements of applicable law.

2.5. Additional Terms and Documents. Certain Platform Services or activities may require the Customer to review or accept additional agreements, authorizations, disclosures, consents, acknowledgments, or policies. Those documents apply only to the matters they expressly govern and form part of the Customer’s relationship with the Company when properly accepted or otherwise applicable. Acceptance of these Terms does not replace any separate Rental Agreement, Rental Schedule, payment authorization, privacy notice, tracking consent, or other document required for a particular rental or Platform function.

2.6. Compliance with Applicable Requirements. The Customer shall use the Platform and Platform Services only for lawful purposes and in accordance with these Terms and any legal requirements applicable to the Customer’s use of the Platform. Nothing in these Terms is intended to exclude, restrict, or modify any right or obligation that cannot lawfully be excluded, restricted, or modified.

Article 3. ELIGIBILITY AND AUTHORITY TO USE THE PLATFORM

3.1. Legal Capacity. The Customer may use the Platform and Platform Services only if the Customer has the legal capacity to enter into a binding agreement and is not prohibited by applicable law from accessing or using the Platform. By accepting these Terms or using Platform Services that require acceptance of these Terms, the Customer represents that the Customer has the legal capacity and authority necessary to do so.

3.2. Personal Use of Account. An Account created for an individual Customer is personal to that Customer and shall be used only by or for that Customer in connection with the Customer’s dealings with the Company. A Customer may not create or use an Account under another person’s identity, permit another person to represent themselves as the Customer through the Account, or create an Account using materially false identity information.

3.3. Identity and Eligibility Verification. The Company may require reasonable information or documentation to verify the Customer’s identity and eligibility to use particular Platform Services. Verification may be conducted directly by the Company or, where appropriate, through a Third-Party Service Provider. The Company may decline, restrict, or delay access to a Platform Service where reasonably necessary to complete verification or where the information provided cannot reasonably be verified.

3.4. Authority for Information and Payment Methods. Where the Customer provides information, documents, or a Payment Method through the Platform, the Customer represents that the Customer is authorized to provide or use them for the intended purpose. This provision does not itself authorize the Company to charge a Payment Method, and any recurring or other payment authorization required by the Company shall be governed by the applicable separate authorization and Section 9 of these Terms.

3.5. Continuing Eligibility. The Customer shall remain legally eligible to use the Platform throughout the period of use and shall promptly notify the Company if the Customer becomes aware of a circumstance that materially affects the Customer’s legal authority to maintain or use the Account. Any restriction or suspension of Platform access shall be handled in accordance with Section 17 and does not, by itself, determine the status of an existing Rental Agreement.

Article 4. CUSTOMER ACCOUNTS AND ACCOUNT SECURITY

4.1. Account Creation. Where an Account is required to access particular Platform Services, the Customer shall complete the registration process requested by the Company and provide the information reasonably required to establish the Account. The Company may determine which Platform Services require an Account and may establish reasonable technical or security requirements for Account access.

4.2. Account Information. The Customer shall maintain current contact and Account information reasonably necessary for the Company to administer the Account and provide Platform Services. The Customer shall promptly update material changes to that information through the Platform, where that functionality is available, or by contacting the Company through an approved communication method. The Customer remains responsible for the accuracy of any update submitted through the Account.

4.3. Security of Credentials. The Customer shall take reasonable steps to protect usernames, passwords, verification codes, authentication credentials, and other security information used to access the Account. The Customer shall not knowingly disclose such credentials to an unauthorized person or knowingly permit an unauthorized person to use them to access the Account.

4.4. Unauthorized Access or Security Concerns. The Customer shall notify the Company promptly after becoming aware of suspected unauthorized access to the Account, loss or compromise of Account credentials, or other circumstances that reasonably indicate that the security of the Account may have been compromised. The Company may require the Customer to reset credentials or complete reasonable security verification before restoring or continuing access.

4.5. Account Activity. The Customer is responsible for activities the Customer knowingly performs, authorizes, or permits through the Account. Account records may be used by the Company as evidence of activity conducted through the Account, subject to the Customer’s right to report unauthorized activity, errors, or other legitimate disputes. Nothing in this Section makes the Customer responsible for unauthorized activity solely because the activity originated through the Customer’s Account.

4.6. Protective Account Measures. Where the Company reasonably believes that an Account has been compromised, is being accessed without authorization, or presents a material security risk, the Company may temporarily restrict access to the Account or affected Platform Services while the matter is investigated or appropriate security measures are completed. Any broader suspension or termination of Platform access shall be governed by Section 17.

4.7. Account Recovery. The Company may require reasonable verification before resetting credentials, changing material Account information, or restoring access to an Account. The Company may decline a requested Account recovery or change where the information provided is insufficient to reasonably verify the Customer’s identity or authority over the Account.

Article 5. PLATFORM SERVICES AND FUNCTIONALITY

5.1. Platform Services. The Company may make Platform Services available to facilitate aspects of the Customer’s relationship with the Company. Depending on the functionality made available from time to time, the Platform may allow the Customer to submit rental related information or applications, review information concerning available vehicles, access or complete documents, make or manage payments, receive communications and transaction records, provide requested information, and perform other administrative functions made available by the Company.

5.2. Availability of Particular Functions. The Platform Services available to a Customer may vary depending on the Customer’s Account status, the stage of an application or rental relationship, the particular service being requested, technical requirements, or other reasonable operational considerations. The availability of a Platform function to one Customer does not require the Company to make the same function available to every Customer or for every rental transaction.

5.3. Informational Vehicle Listings. Any vehicle description, photograph, availability indication, mileage information, pricing information, feature description, or other vehicle related information displayed through the Platform is provided for purposes of facilitating the rental process and is subject to confirmation in connection with the applicable rental transaction. Platform information concerning a vehicle does not, by itself, reserve that vehicle for the Customer or create a right to rent, possess, or purchase it.

5.4. Administrative Use of the Platform. The Company may use the Platform to administer matters associated with an application or an existing customer relationship, including requesting information or documents, providing documents or records, communicating account or transaction information, and making administrative functions available to the Customer. The use of the Platform for these purposes does not alter the substantive terms of an existing Rental Agreement or Rental Schedule unless a change is separately made and accepted in accordance with the applicable contractual requirements.

5.5. Platform Actions and Separate Requirements. Completion of a step through the Platform does not eliminate any separate requirement applicable to the relevant transaction. The Company may require additional documentation, verification, authorization, acknowledgment, signature, payment information, or other action before a particular Platform Service, rental application, or rental transaction can be completed.

5.6. Customer Responsibility for Required Actions. The Platform may assist the Customer in completing or managing certain administrative steps, but the Customer remains responsible for completing actions required from the Customer within any applicable time period. The Customer shall not assume that an action has been completed merely because information was entered or uploaded through the Platform where the Platform or Company indicates that additional confirmation, review, acceptance, or processing is required.

Article 6. RENTAL APPLICATIONS AND VEHICLE AVAILABILITY

6.1. Submission of Rental Application. Where the Company makes a rental application process available through the Platform, the Customer may submit the information and documentation requested by the Company for consideration of a proposed rental. Submission of an application constitutes a request for the Company to consider the Customer for a rental and does not constitute acceptance of the application, reservation of a vehicle, or formation of a Rental Agreement.

6.2. Application Information. The Company may request information reasonably relevant to evaluating or administering a proposed rental, including identification, contact information, driver information, insurance information, payment-related information, and supporting documentation. The Customer shall provide information requested for the application in accordance with these Terms. The more detailed obligations concerning the accuracy and legitimacy of information and Customer Content submitted through the Platform are governed by Section 10.

6.3. Review and Verification. The Company may review and reasonably verify information submitted in connection with a rental application and may request clarification or additional documentation where reasonably necessary to complete that review. Where appropriate, the Company may use a Third-Party Service Provider to assist with verification or processing. Any such third-party involvement remains subject to the provisions of these Terms applicable to Third Party Service Providers and the Company’s applicable Privacy Policy.

6.4. Rental Approval. The Company may approve or decline a rental application based on reasonable rental eligibility requirements, vehicle availability, completion of required documentation, insurance requirements, verification results, payment requirements, and other lawful considerations relevant to the proposed rental. An approval communicated through the Platform remains subject to completion and acceptance of the applicable Rental Agreement, Rental Schedule, and any other documents or requirements necessary to establish the rental relationship.

6.5. Conditional or Incomplete Approval. Where the Company indicates that an application is conditionally approved, pending, incomplete, or subject to further information or documentation, the Customer shall not treat that status as final approval or as authorization to take possession of a vehicle. Any outstanding condition identified by the Company must be completed or satisfied before the proposed rental may proceed.

6.6. Vehicle Availability at Completion. Approval of a rental application does not guarantee that a particular vehicle will remain available until the rental transaction is completed. If the contemplated vehicle becomes unavailable before completion of the applicable Rental Agreement and Rental Schedule, the Company may, where available, offer another vehicle or proposed rental arrangement. The Customer is not required to accept a substitute vehicle or materially different rental terms unless separately agreed.

6.7. Formation of Rental Relationship. A Customer becomes entitled to possession of a particular vehicle only after the applicable Rental Agreement and Rental Schedule have been completed and accepted, all required pre-rental conditions have been satisfied, and the Company has authorized delivery or release of that vehicle. Nothing displayed, submitted, reviewed, or preliminarily approved through the Platform shall independently create a right to possession of a vehicle.

6.8. Changes Before Completion. If information material to a pending rental application changes before the rental transaction is completed, the Customer shall provide the updated information where the change is reasonably relevant to the proposed rental. The Company may consider the updated information before completing the rental and may request additional documentation where reasonably necessary.

Article 7. RELATIONSHIP WITH THE RENTAL AGREEMENT

7.1. Separate Contractual Functions. These Terms govern the Customer’s access to and use of the Platform and Platform Services. The possession, operation, use, maintenance, return, recovery, and any optional purchase opportunity relating to a particular vehicle are governed by the applicable Rental Agreement, Rental Schedule, and any other document expressly applicable to that rental transaction. These Terms do not replace the Rental Agreement or Rental Schedule.

7.2. Application to Existing Rental Relationship. Where a Customer has entered into a Rental Agreement, these Terms continue to apply to the Customer’s use of the Platform in connection with that rental. Use of the Platform to view information, submit documents, make payments, receive communications, or perform administrative functions does not independently amend, extend, renew, terminate, or waive any provision of the Rental Agreement or Rental Schedule.

7.3. Order of Precedence. If there is a direct inconsistency between these Terms and an executed Rental Agreement or Rental Schedule concerning the possession, operation, use, payment terms, mileage allowance, maintenance, insurance, damage, return, recovery, optional purchase opportunity, or another substantive term of a particular vehicle rental, the applicable Rental Agreement or Rental Schedule shall control as to that matter. These Terms shall continue to control matters concerning access to and use of the Platform and Platform Services unless the applicable Rental Agreement expressly provides otherwise.

7.4. Separate Authorizations, Consents and Acknowledgments. The Company may require separate authorizations, consents, acknowledgments, disclosures, or policies in connection with particular Platform Services or a rental transaction. Each such document shall govern the specific subject matter it expressly addresses. Unless a document expressly states otherwise, acceptance of one document does not replace, amend, or waive another separately applicable document.

7.5. Rental Specific Terms. Vehicle specific and transaction specific commercial terms shall be established through the applicable Rental Agreement, Rental Schedule, or another document expressly incorporated into or executed in connection with that rental. Information displayed generally through the Platform shall not override a transaction specific term contained in an executed Rental Agreement or Rental Schedule.

7.6. Changes to Existing Rental Terms. A modification made to the Platform, an Account, Platform Content, general pricing information, or Platform functionality does not by itself modify an existing Rental Agreement or Rental Schedule. Any material change to the contractual terms of an existing rental must be made and accepted in the manner required by the applicable Rental Agreement and applicable law.

7.7. Continuing Rental Obligations. A Customer’s decision to stop using the Platform, closure or restriction of an Account, or temporary unavailability of Platform Services does not by itself terminate or suspend an existing Rental Agreement or excuse obligations that remain due under that agreement. The status and termination of an existing rental relationship shall be determined under the applicable Rental Agreement and applicable law.

Article 8. ELECTRONIC CONTRACTING AND RECORDS

8.1. Electronic Transactions. The Company may make agreements, disclosures, notices, authorizations, acknowledgments, records, and other documents available for electronic review, acceptance, signature, or delivery through the Platform or another electronic method made available by the Company. Subject to applicable law and any requirement for a different form of execution, a document shall not be denied effect solely because it is created, presented, accepted, signed, or maintained electronically.

8.2. Electronic Acceptance and Signatures. Where the Company presents a document for electronic acceptance or signature, the Customer may be required to take an affirmative action indicating agreement, including selecting an acceptance option, applying an electronic signature, entering requested authentication information, or completing another electronic process designated for that document. An electronic action intended and reasonably presented as acceptance or signature may have the same effect as a handwritten signature to the extent permitted by applicable law.

8.3. Opportunity to Review Documents. Before completing an electronic acceptance or signature process, the Customer shall be given a reasonable opportunity to access and review the document being presented. The Customer is responsible for reviewing the document before affirmatively accepting or signing it and should not complete the electronic process if the Customer does not agree to its terms.

8.4. Attribution of Electronic Actions. Electronic records associated with an Account, authentication process, electronic signature, date and time record, device or system information, or other reasonably reliable electronic evidence may be used to determine whether an electronic action was attributable to the Customer. No electronic record shall create an irrebuttable presumption of authorization, and the Customer retains the right to report suspected unauthorized activity, error, fraud, or another legitimate dispute.

8.5. Electronic Communications and Delivery. Where permitted by applicable law and the Customer has provided any consent required for the applicable method, the Company may provide an Electronic Communication through the Platform, email, text message, or another electronic method reasonably designated for that purpose. Electronic delivery does not replace any form of notice or service that applicable law or a separately applicable agreement expressly requires to be provided by another method.

8.6. Copies and Retention of Records. The Company may create, store, reproduce, and retain electronic copies of agreements, Rental Agreements, Rental Schedules, acknowledgments, authorizations, communications, transaction records, and other documents associated with the Customer’s use of the Platform or relationship with the Company, subject to applicable law and the Company’s applicable record retention practices. The Customer may retain or download copies made available through the Platform and may request a copy from the Company where reasonably available.

8.7. Electronic Records as Evidence. To the extent permitted by applicable law, electronic records maintained in the ordinary course of the Company’s operations may be used as evidence of communications, document presentation, acceptance, signatures, payments, submissions, and other Platform activity. Nothing in this Section prevents the Company and the Customer from establishing that a record is inaccurate, incomplete, unauthorized, altered, or otherwise unreliable.

8.8. Technical Failure During Contracting. If an electronic contracting process is interrupted, incomplete, or affected by a technical error, the Company may require the affected step or document to be completed again before treating the electronic process as complete. A partially completed electronic process does not by itself establish acceptance of a document where the required acceptance or signature step was not successfully completed.

8.9. Separate Payment Authorization. Electronic acceptance or signature of these Terms, a Rental Agreement, Rental Schedule, or another document does not by itself authorize recurring or future charges to a Payment Method unless the applicable document expressly provides that authorization. Any separate recurring or electronic payment authorization required by the Company shall govern the scope and terms of the payment authority granted by the Customer.

8.10. Paper or Alternative Execution Where Required. Nothing in these Terms requires the use of electronic contracting where applicable law requires a paper document, physical signature, in-person process, or another prescribed method. The Company may also require paper or alternative execution where reasonably necessary for a particular document or transaction.

Article 9. PAYMENTS THROUGH THE PLATFORM

9.1. Payment Functionality. The Company may permit the Customer to use the Platform to make payments or provide a Payment Method in connection with amounts payable to the Company. The availability of a particular payment option may depend on the Platform functionality, the applicable transaction, and the payment methods supported by the Company or its Third-Party Service Providers.

9.2. Amounts Payable. The Platform may display, facilitate, or process amounts arising under a Rental Agreement, Rental Schedule, applicable charges and fees schedule, separate authorization, or other agreement between the Customer and the Company. These Terms do not independently establish the amount of any Rental Payment, fee, damage charge, toll, mileage charge, recovery cost, purchase price, or other vehicle related amount. The applicable transaction document shall determine the Customer’s substantive payment obligation.

9.3. Payment Authorization. The Customer may authorize an individual payment through the payment process made available by the Company. A one-time payment authorization does not constitute authorization for recurring or future payments unless the Customer has separately provided such authorization in a form that expressly permits them. Any recurring or continuing payment authority shall be governed by the applicable Recurring and Electronic Payment Authorization or other valid payment authorization accepted by the Customer.

9.4. Payment Processing. Payments made through the Platform may be processed by the Company or a Third-Party Service Provider. The Customer authorizes the transmission of information reasonably necessary to initiate, process, verify, settle, reverse, refund, or reconcile an authorized payment, subject to applicable law and the Company’s applicable Privacy Policy. The timing of processing or settlement may depend on the Payment Method and the systems of the relevant financial institution or Third-Party Service Provider.

9.5. Payment Confirmation and Status. Submission of payment information through the Platform does not by itself establish that a payment has been successfully completed. A payment may remain pending until it has been authorized, processed, and accepted through the applicable payment system. The Company may provide an electronic confirmation, receipt, or Account record reflecting the status of a payment, and the Customer should promptly notify the Company of a material discrepancy reasonably apparent from that record.

9.6. Declined, Rejected or Reversed Payments. If a payment is declined, rejected, returned, reversed, or otherwise not successfully received by the Company, the underlying amount remains payable to the extent it is validly due under the applicable Rental Agreement, Rental Schedule, or other governing transaction document. Any fee or other consequence arising from an unsuccessful payment shall apply only where authorized by the applicable agreement and permitted by applicable law.

9.7. Payment Errors and Corrections. If the Company or Customer identifies a duplicate payment, incorrect amount, processing error, or other apparent payment discrepancy, the Company and the Customer shall reasonably cooperate in reviewing the relevant transaction records. Where an error is confirmed, the Company may correct the Account record and process any appropriate adjustment, credit, refund, or other correction in accordance with the applicable transaction documents and applicable law.

9.8. Payment Disputes and Chargebacks. Nothing in these Terms restricts the Customer from raising a good faith payment dispute or exercising a right available under applicable law or the rules governing the applicable Payment Method. The Company may provide relevant agreements, authorizations, transaction records, receipts, communications, and other reasonably related records in response to a payment dispute or chargeback. Any contractual consequences of a knowingly false or improper payment dispute arising from a vehicle rental shall be determined under the applicable Rental Agreement rather than independently under this Section.

9.9. Partial Payments and Account Allocation. Where the Company accepts a partial payment toward amounts arising under an existing Rental Agreement, acceptance through the Platform does not alter the allocation, priority, waiver, or remaining balance provisions contained in that Rental Agreement or another applicable transaction document. Acceptance of a partial payment does not, by itself, constitute settlement or waiver of a remaining amount that is validly due.

9.10. Refunds and Credits. Any entitlement to a refund, credit, adjustment, or reimbursement shall be determined under the Rental Agreement, Rental Schedule, applicable transaction document, Company policy that expressly applies to the transaction, or applicable law. The availability of refund functionality through the Platform does not independently create a right to a refund.

9.11. Payment Records. The Company may maintain electronic records of payment requests, authorizations, attempted payments, completed payments, refunds, reversals, credits, and related transaction information. Such records may be used for Account administration, reconciliation, customer support, dispute review, and other lawful business purposes, subject to Section 8 and the Company’s applicable Privacy Policy.

Article 10. CUSTOMER INFORMATION AND SUBMITTED MATERIALS

10.1. Information Provided by Customer. The Customer shall provide information reasonably requested through the Platform or by the Company in connection with the Customer’s Account, a rental application, an existing rental relationship, payment administration, verification, customer support, or another Platform Service. The Customer shall not knowingly provide materially false, misleading, incomplete, altered, or fabricated information for the purpose of obtaining or using a Platform Service or rental related benefit.

10.2. Accuracy and Completeness. At the time information or Customer Content is submitted, the Customer represents that, to the Customer’s knowledge, material factual information provided by the Customer is accurate and not misleading in any material respect. Where information requested by the Company is incomplete or requires clarification, the Customer shall provide reasonable clarification or supporting information when necessary for the relevant Platform Service or rental process.

10.3. Authenticity of Documents. Any identification document, insurance document, driver information, payment related document, photograph, record, certificate, or other supporting material submitted by the Customer shall be genuine and shall not knowingly be falsified, materially altered, manipulated, or presented in a manner intended to mislead the Company. Where a document has legitimately been amended, renewed, replaced, or corrected, the Customer shall not represent an outdated or superseded version as current.

10.4. Authority to Submit Customer Content. The Customer shall submit Customer Content only where the Customer has the right or lawful authority to provide it to the Company for the intended purpose. The Customer shall not knowingly submit material that unlawfully infringes another person’s intellectual property, privacy, confidentiality, or other legal rights.

10.5. Changes to Material Information. Where information previously submitted through the Platform materially changes while it remains relevant to an active application, Platform Service, or existing rental relationship, the Customer shall provide updated information where the applicable Rental Agreement, these Terms, or the Company reasonably requires the update for administration of the relevant matter. This Section does not replace any more specific notification obligation contained in a Rental Agreement or other separately applicable document.

10.6. Review of Submitted Information. The Company may review Customer Content and may request reasonable clarification, correction, replacement, or supporting documentation where submitted material appears incomplete, inconsistent, unreadable, expired, or reasonably requires further verification. Acceptance, upload, or storage of Customer Content through the Platform does not constitute a representation by the Company that the information has been independently verified or determined to be accurate.

10.7. Limited Right to Use Customer Content. The Customer retains any ownership rights the Customer may have in Customer Content. By submitting Customer Content, the Customer authorizes the Company to access, reproduce, store, transmit, review, and otherwise use that Customer Content to the extent reasonably necessary to provide Platform Services, evaluate or administer a rental relationship, process authorized transactions, maintain records, comply with applicable law, protect legitimate business or legal interests, or perform another purpose described in the Company’s applicable Privacy Policy.

10.8. Customer Content Containing Third Party Information. Where Customer Content includes information concerning another person, the Customer represents that the Customer has a lawful basis or other appropriate authority to provide that information for the intended purpose. The Company may limit, reject, remove, or request modification of Customer Content where reasonably necessary to address a privacy, confidentiality, security, or legal concern.

10.9. Prohibited Submitted Materials. The Customer shall not knowingly upload or transmit through the Platform Customer Content that contains malicious software, harmful code, unlawfully obtained information, fraudulent documentation, or material whose submission or transmission through the Platform would itself violate applicable law. Broader restrictions concerning interference with, misuse of, or unauthorized access to the Platform are governed by Section 11.

Article 11. ACCEPTABLE USE AND PROHIBITED CONDUCT

11.1. Permitted Use. The Customer may use the Platform and Platform Services only for lawful purposes associated with the Customer’s dealings with the Company and in accordance with these Terms. The Customer shall use the Platform in a manner that does not materially interfere with its security, integrity, operation, or lawful use by the Company or other authorized users.

11.2. Unauthorized Access. The Customer shall not knowingly attempt to gain unauthorized access to another person’s Account, any restricted portion of the Platform, Company systems, databases, administrative functions, or other systems or information for which the Customer has not been granted access. The Customer shall not knowingly bypass, defeat, disable, or circumvent authentication, access controls, or other security measures protecting the Platform.

11.3. Fraudulent or Deceptive Use. The Customer shall not use the Platform to impersonate another person, create or operate a materially fraudulent Account, misrepresent authority to act for another person, manipulate a Platform process for an unlawful or fraudulent purpose, or knowingly use Platform functionality to obtain a benefit through materially false or deceptive means.

11.4. Interference with Platform Operations. The Customer shall not knowingly introduce, initiate, or carry out activity intended to materially disrupt, damage, overload, disable, degrade, or interfere with the normal operation or security of the Platform, Platform Services, or systems supporting them. This includes intentionally attempting to exploit a security vulnerability or technical defect for an unauthorized purpose.

11.5. Automated Access and Data Extraction. Except where expressly authorized by the Company or permitted by applicable law, the Customer shall not use automated tools, bots, scripts, crawlers, scraping technologies, or similar methods to systematically access, extract, copy, monitor, or collect Platform Content or nonpublic information from the Platform in a manner that materially exceeds ordinary personal use of the Platform.

11.6. Manipulation of Platform or Transaction Records. The Customer shall not knowingly alter, falsify, conceal, delete, or manipulate Platform generated records, payment information, electronic confirmations, application information, document status information, or other electronic records for the purpose of misleading the Company, a Third-Party Service Provider, financial institution, governmental authority, or another person.

11.7. Misuse of Payment Functionality. The Customer shall not knowingly use a Payment Method without lawful authority, intentionally provide materially false payment information, or manipulate Platform payment functionality for a fraudulent or unlawful purpose. Nothing in this Section prohibits the Customer from raising a good faith payment dispute, requesting correction of an error, disputing an unauthorized transaction, or exercising a right available under applicable law or applicable payment network rules.

11.8. Unlawful Use. The Customer shall not use the Platform or Platform Services to facilitate conduct that the Customer knows is unlawful, to transmit unlawful instructions or requests, or to use Company systems in a manner that knowingly violates applicable law. This provision concerns use of the Platform and does not replace the separate restrictions governing possession or operation of a vehicle under an applicable Rental Agreement.

11.9. Security and Misuse Reporting. The Customer should promptly notify the Company if the Customer becomes aware of a material security vulnerability, unauthorized access, fraudulent use, or other misuse of the Customer’s Account or the Platform that could reasonably affect the Customer’s relationship with the Company. The Customer shall not knowingly exploit a suspected vulnerability while reporting or investigating it.

11.10. Consequences of Prohibited Conduct. Conduct prohibited by this Section may result in restriction, suspension, or termination of access to the Platform or particular Platform Services in accordance with Section 17. Where the same conduct independently constitutes a breach or Default under a Rental Agreement or another separately applicable agreement, the consequences under that agreement shall be determined under its own terms and applicable law.

Article 12. INTELLECTUAL PROPERTY AND PLATFORM CONTENT

12.1. Ownership of Platform and Platform Content. As between the Company and the Customer, the Company owns or lawfully uses the Platform and Platform Content, including the applicable software interfaces, design, layout, text, graphics, logos, branding, databases, compilations, and other materials made available by or on behalf of the Company through the Platform. The Platform and Platform Content are protected by applicable intellectual property and other laws. Except for the limited right of use expressly provided in these Terms, no ownership right in the Platform or Platform Content is transferred to the Customer.

12.2. Limited Right of Use. Subject to these Terms, the Company grants the Customer a limited, nonexclusive, nontransferable, and revocable right to access and use the Platform and Platform Content made available to the Customer solely for the Customer’s lawful personal dealings with the Company and use of the Platform Services. The Customer may download, print, or retain copies of Rental Agreements, Rental Schedules, receipts, communications, and other records made available to the Customer for the Customer’s own records or other lawful purposes relating to the Customer’s relationship with the Company.

12.3. Company Names, Marks and Branding. The Company’s names, logos, service marks, trade dress, branding, and other source identifying materials displayed through the Platform may be owned by or licensed to the Company. No right to use such materials for advertising, promotion, business identification, domain names, social media identifiers, or in a manner suggesting sponsorship, endorsement, affiliation, or authorization is granted to the Customer except with the Company’s prior authorization or as otherwise permitted by applicable law.

12.4. Third Party Materials. Certain content, software, information, trademarks, maps, images, links, or other materials accessible through the Platform may be owned or provided by third parties. Such materials remain subject to the rights of their respective owners and, where applicable, separate terms governing their use. Their availability through the Platform does not transfer ownership of those materials to the Company or the Customer.

12.5. Customer Content. Nothing in this Section transfers to the Company ownership of Customer Content merely because it is submitted, stored, or transmitted through the Platform. The Company’s rights concerning Customer Content are limited to those described in Section 10.7. and any additional rights lawfully granted by the Customer for a particular purpose.

12.6. Feedback. If the Customer voluntarily provides suggestions, comments, ideas, or other feedback specifically concerning the Platform or Platform Services, the Company may use that feedback for legitimate business purposes, including evaluating or improving its services, without an obligation to compensate the Customer solely for providing the feedback. This provision does not transfer ownership of other Customer Content or authorize the Company to publicly identify the Customer as the source without appropriate authority.

12.7. Reservation of Rights. All rights in the Platform and Platform Content not expressly granted to the Customer under these Terms are reserved by the Company or the applicable rights holder. No additional right or license arises merely from the Customer’s access to or use of the Platform.

Article 13. THIRD PARTY SERVICES AND EXTERNAL PROVIDERS

13.1. Use of Third-Party Service Providers. The Company may use Third Party Service Providers to support or facilitate particular Platform Services, including technology infrastructure, payment processing, electronic contracting, communications, identity or information verification, data hosting or storage, mapping, and other operational functions. The Company may change the Third-Party Service Providers it uses from time to time where reasonably necessary for its business or the operation of the Platform.

13.2. Direct Third-Party Services and Terms. Where the Customer elects or is required to interact directly with a Third-Party Service Provider and that provider presents separate terms, conditions, notices, or policies governing its service, those terms may apply to the Customer’s direct use of that third party service. The Company’s use of a Third-Party Service Provider in the background to support the Platform does not, by itself, establish a separate contractual relationship between the Customer and that provider.

13.3. Information Necessary for Third Party Functions. The Company may provide or transmit information to a Third-Party Service Provider to the extent reasonably necessary for the provider to perform a function supporting the Platform, Platform Services, or the Customer’s relationship with the Company. Any collection, use, disclosure, or other handling of personal information in connection with such services shall be subject to the Company’s applicable Privacy Policy and applicable law.

13.4. Dependence on Third Party Systems. Certain Platform Services may depend on systems, networks, processing services, communications infrastructure, or other technology operated by Third Party Service Providers. An interruption, delay, failure, or technical limitation affecting an independent third-party system may temporarily affect the availability or completion of the related Platform Service.

13.5. Responsibility for Independent Third-Party Services. To the extent permitted by applicable law, the Company is not responsible for an independent Third-Party Service Provider’s acts, omissions, system failures, service interruptions, or separate terms where those matters are outside the Company’s reasonable control. Nothing in this Section excludes or limits responsibility that applicable law imposes on the Company for its own acts or omissions, including its administration of the Platform or its use of Third-Party Service Providers.

13.6. Effect on Existing Obligations. A failure, interruption, or unavailability involving a Third-Party Service Provider does not by itself amend, suspend, cancel, or terminate a Rental Agreement, Rental Schedule, or other existing contractual obligation between the Customer and the Company. Where such a failure prevents the Customer from completing a time sensitive action through the Platform, the Customer should use another reasonable method made available by the Company for completing that action.

Article 14. PLATFORM AVAILABILITY, MAINTENANCE AND CHANGES

14.1. Platform Availability. The Company may make the Platform and Platform Services available subject to reasonable operational, technical, security, and maintenance requirements. While the Company may take reasonable measures to maintain the operation of the Platform, it does not guarantee that the Platform or every Platform Service will be continuously available, uninterrupted, or free from technical errors at all times.

14.2. Maintenance and Technical Work. The Company may temporarily restrict or interrupt access to all or part of the Platform where reasonably necessary to perform scheduled or emergency maintenance, repairs, updates, testing, security measures, system improvements, or other technical work. Where reasonably practicable, the Company may provide notice of a planned interruption that is expected to materially affect Customer access.

14.3. Platform Updates and Improvements. The Company may update or modify the design, interface, technology, navigation, security features, administrative processes, and other operational aspects of the Platform from time to time. Such changes may be made to improve functionality, address security or technical requirements, comply with applicable law, or reflect reasonable changes in the Company’s operations.

14.4. Addition, Modification or Discontinuation of Features. The Company may introduce, modify, replace, restrict, or discontinue particular Platform Services or features where reasonably appropriate for its operations. Where a change materially affects a function that a Customer reasonably requires to perform an existing contractual obligation, the Company shall make a reasonable alternative method available where required by the applicable agreement or applicable law.

14.5. Correction of Platform Errors. The Company may correct typographical, clerical, technical, calculation, display, or other errors appearing through the Platform. A correction to information displayed through the Platform does not, by itself, authorize the Company to alter a term contained in an executed Rental Agreement, Rental Schedule, or other binding transaction document. Any correction affecting a binding contractual term shall be handled in accordance with the applicable agreement and applicable law.

Article 15. PRIVACY AND DATA PRACTICES

15.1. Personal Information. The Customer’s use of the Platform and Platform Services may involve the collection, use, storage, disclosure, and other processing of personal information by or on behalf of the Company. The Company shall handle personal information in accordance with its applicable Privacy Policy and applicable law.

15.2. Privacy Policy. The Company’s Privacy Policy describes the categories of personal information the Company may collect, the purposes for which information may be used, the circumstances in which information may be disclosed, applicable retention and security practices, and rights or choices that may be available to individuals under applicable law. The Customer should review the Privacy Policy in connection with use of the Platform and Platform Services.

15.3. Relationship with These Terms and Other Agreements. The Privacy Policy governs the Company’s privacy and data practices and does not independently modify the commercial or operational terms of these Terms, a Rental Agreement, or a Rental Schedule. Conversely, nothing in these Terms authorizes the Company to collect, use, retain, or disclose personal information in a manner inconsistent with applicable law or the Company’s applicable Privacy Policy.

Article 16. DISCLAIMERS AND LIMITATION OF PLATFORM LIABILITY

16.1. Platform Purpose. The Platform and Platform Services are provided to facilitate electronic access to information, documents, communications, payments, applications, records, and other administrative functions associated with the Customer’s relationship with the Company. Except as expressly provided in an applicable agreement or required by applicable law, the Platform is not intended to provide legal, financial, insurance, tax, mechanical, or other professional advice.

16.2. Platform Information. The Company may take reasonable measures to maintain accurate and current information through the Platform, but information displayed through the Platform may occasionally contain clerical, technical, transmission, or display errors or may not immediately reflect a recent transaction or Account update. Where Platform information conflicts with an executed Rental Agreement, Rental Schedule, or other binding transaction document, the applicable document shall control in accordance with Section 7.

16.3. Customer Reliance and Verification. The Customer should review material transaction information, documents, payment records, and confirmations made available through the Platform and promptly notify the Company of any material discrepancy reasonably apparent to the Customer.

16.4. Limitation of Platform Liability. To the fullest extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, or consequential loss arising solely from the Customer’s use of or inability to use the Platform or Platform Services where such loss was not reasonably foreseeable as a result of the Company’s breach of an obligation owed to the Customer. This limitation applies only to liability associated with the Platform and Platform Services and does not independently limit or alter liability arising under a Rental Agreement or another separately applicable agreement.

16.5. Matters Outside the Company’s Reasonable Control. Subject to applicable law, the Company shall not be responsible for a delay or failure in a Platform Service to the extent caused by circumstances outside the Company’s reasonable control, including material telecommunications failures, internet outages, widespread infrastructure failures, governmental restrictions, natural events, or other comparable circumstances that the Company could not reasonably prevent or overcome. Third Party Service Provider matters are governed more specifically by Section 13.

16.6. Mandatory Rights and Company Responsibility. Nothing in these Terms excludes, restricts, or limits liability or a Customer right to the extent that such liability or right cannot lawfully be excluded, restricted, or limited. Nothing in this Section excuses the Company from responsibility for its own fraud, willful misconduct, or other liability that applicable law requires the Company to bear.

16.7. Rental Related Liability. Liability arising from possession, operation, maintenance, condition, damage, loss, return, recovery, insurance, or other use of a particular vehicle shall be determined under the applicable Rental Agreement and applicable law. The availability of information or administrative functionality concerning those matters through the Platform does not transfer those substantive liability provisions into these Terms.

Article 17. SUSPENSION AND TERMINATION OF PLATFORM ACCESS

17.1. Restriction or Suspension of Access. The Company may restrict or suspend the Customer’s access to an Account or particular Platform Services where the Company reasonably determines that such action is necessary to protect the security or integrity of the Platform, investigate suspected unauthorized or fraudulent activity, address a material violation of these Terms, comply with applicable law or a lawful governmental requirement, or prevent material harm to the Company, the Customer, another user, or the Platform.

17.2. Scope of Restriction. Where reasonably practicable, a restriction or suspension shall be limited to the Account, Platform Service, functionality, or period reasonably necessary to address the circumstances giving rise to the action. The Company may impose an immediate restriction where reasonably necessary to address a material security concern, suspected fraud, unauthorized access, or legal requirement.

17.3. Notice of Suspension or Restriction. Where reasonably practicable and legally permitted, the Company shall notify the Customer of a material restriction or suspension and provide sufficient information to identify the general reason for the action. The Company is not required to provide advance notice where doing so would materially compromise security, interfere with an investigation, facilitate suspected unlawful activity, or conflict with applicable law or a lawful governmental requirement.

17.4. Customer Requested Closure. The Customer may request closure of the Customer’s Account by contacting the Company through a method made available for that purpose. Account closure does not cancel, discharge, or modify an existing Rental Agreement, Rental Schedule, unpaid amount, pending transaction, or other obligation that arose independently of the Account. The Company may retain records following Account closure to the extent permitted or required under its Privacy Policy, applicable contractual obligations, and applicable law.

17.5. Termination of Platform Access by Company. The Company may terminate the Customer's right to use the Platform where the Customer materially or repeatedly violates these Terms, knowingly uses the Platform or Account for fraudulent or unlawful purposes, knowingly submits materially false information through the Platform, knowingly uses false or unauthorized payment credentials, or knowingly uses the Platform in connection with a false, fraudulent, or materially misleading payment dispute, chargeback, reversal, or similar claim. A single instance of materially fraudulent conduct may be sufficient where the circumstances reasonably justify termination. A payment dispute made in good faith shall not constitute grounds for termination merely because the Company disagrees with the Customer's position or because the dispute is ultimately resolved in the Company's favor. Where the circumstances are reasonably capable of correction, the Company may provide the Customer an opportunity to correct the matter before termination, but is not required to do so where immediate termination is reasonably necessary or permitted by Applicable Law.

17.6. Restoration of Access. Where access has been temporarily restricted or suspended, the Company may restore access after the reason for the restriction has been resolved and any reasonable security, identity verification, or corrective requirements have been completed. Restoration of access does not waive a prior violation of these Terms or affect rights or obligations arising under another separately applicable agreement.

17.7. Alternative Administration of Existing Relationship. If Platform access is unavailable following a restriction, suspension, termination, or Account closure while an existing Rental Agreement remains in effect, the Company may provide or designate another reasonable method for communications, payments, delivery of documents, or other administrative actions reasonably necessary to administer that rental relationship.

17.8. Effect of Rental-Related Default. A restriction, suspension, or termination of Platform access under these Terms is separate from any Default, termination, return requirement, or Recovery right arising under a Rental Agreement. Matters concerning unpaid Rental Payments, insurance, tolls, tickets, violations, mileage restrictions, Vehicle misuse or abuse, GPS or telematics interference, failure to return the Vehicle, concealment, abandonment, or other Vehicle-related conduct shall be governed by the applicable Rental Agreement and Applicable Law. Nothing in these Terms limits the Company's right to take action separately under an applicable Rental Agreement where the circumstances constitute a Default under that agreement.

Article 18. GOVERNING LAW, GENERAL PROVISIONS AND CONTACT INFORMATION

18.1. Governing Law. These Terms and the Customer’s use of the Platform shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to principles of conflicts of laws that would require application of the substantive laws of another jurisdiction, except to the extent that applicable federal law or another mandatory legal requirement controls a particular matter.

18.2. Jurisdiction and Venue. Subject to any mandatory legal requirement applicable to a particular claim or proceeding, the Company and the Customer consent to the jurisdiction of the state and federal courts having jurisdiction over Camden County, New Jersey, for any action or proceeding arising out of or relating to these Terms, the Platform, or the Platform Services. To the extent the Company and the Customer may lawfully agree upon venue, venue shall lie in Camden County, New Jersey, or in the applicable federal judicial district having jurisdiction over Camden County. If a mandatory legal requirement applicable to a particular dispute requires jurisdiction or venue in another forum, that requirement shall control only to the extent of the conflict.

18.3. Changes to These Terms. The Company may prospectively revise these Terms from time to time to reflect changes in the Platform, Platform Services, business operations, administrative practices, security requirements, or applicable legal requirements. Where a revision materially affects the Customer's rights or obligations concerning continued use of the Platform, the Company shall make the revised Terms reasonably available to the Customer and provide reasonsable written or electronic notice of the revision and its effective date. Where permitted by Applicable Law, the Customer's continued access to or use of the Platform after the effective date and after having been given a reasonable opportunity to review the revised Terms may constitute acceptance of those revised Terms. If Applicable Law requires express acceptance of a particular revision, the Company shall obtain that acceptance before applying the revision to the Customer. A revision shall apply prospectively and shall not retroactively modify accrued rights, obligations, transactions, or events, and no revision to these Terms shall by itself modify the Rental Payment, Company Charges, Optional Purchase Price, Purchase Eligibility Period, or another transaction-specific term contained in an executed Rental Agreement or Rental Schedule.

18.4. Assignment. The Customer may not assign or transfer the Customer’s rights or obligations under these Terms to another person without the Company’s prior written consent. The Company may assign these Terms in connection with a merger, reorganization, sale or transfer of the Platform or relevant business operations, or other lawful transfer of the Company’s rights and obligations, provided that the assignment does not eliminate any nonwaivable right of the Customer under applicable law.

18.5. No Waiver. A failure or delay by the Company to exercise a right or remedy under these Terms does not constitute a waiver of that right or remedy. A waiver concerning one matter does not constitute a continuing waiver or a waiver concerning another matter unless the Company expressly states otherwise in writing.

18.6. Severability. If a provision of these Terms is determined by a court or other authority of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent lawfully permitted or, where necessary, severed to the minimum extent required. The remaining provisions shall continue in effect unless the removal of the affected provision makes continued enforcement of these Terms unlawful or defeats their essential purpose.

18.7. Survival. Provisions of these Terms that by their nature are intended to remain applicable after closure of an Account or termination of Platform access shall survive to the extent necessary to give them effect, including provisions concerning intellectual property, records, accrued payment matters, limitations of liability, governing law, and other rights or obligations that arose before termination. Termination of Platform access does not create new obligations that would not otherwise survive under these Terms or applicable law.

18.8. Headings and Interpretation. Section headings are included for convenience and do not limit the meaning of these Terms. Words used in the singular include the plural where the context reasonably requires, and references to a person include an individual or legal entity where appropriate. The words “including” and “include” shall be interpreted as introducing examples rather than an exhaustive list. A reference to a Section means a section of these Terms unless the context expressly indicates otherwise.

18.9. Entire Agreement as to Platform Use. These Terms constitute the agreement between the Company and the Customer concerning access to and use of the Platform and Platform Services, together with any additional Platform specific terms expressly incorporated into these Terms or separately accepted for a particular Platform Service. This provision does not supersede or replace a Rental Agreement, Rental Schedule, Privacy Policy, payment authorization, tracking consent, acknowledgment, or other separate document governing its own subject matter.

18.10. Company Contact Information. Questions, notices, or communications concerning these Terms or the Platform may be directed to Wheelson Auto Inc., 329 Linden Ave., Woodlynne, New Jersey 08107, Email: wheelsonauto@gmail.com, Telephone: 8568391385

Where a Rental Agreement, Rental Schedule, applicable law, or another separately applicable document requires a particular method or address for formal notice, the notice requirements contained in that document shall control for that purpose.
